Midnight Beta Terms of Service

These Terms cover Midnight's website, beta app, voice sessions, saved briefs, research notes, and agent connections, together called the Service. Agent connections let AI assistants you connect through MCP read your saved briefs and prepare calls for you. Wild Ventures SL provides the Service. By using it, you agree to these Terms. If you act for an organization, you must have authority to accept them for it.

Using the beta

You must be at least 18, able to enter a contract, and provide accurate account information. Access may require an invitation. Keep your sign-in details secure. You are responsible for activity under your account and connected apps, which have their own terms and privacy practices.

Midnight is free, pre-release software. Features may change or stop, and we do not promise a service level or ongoing support. We will not charge you unless you agree to separate paid terms. Do not rely on Midnight as the only system for a critical business process.

AI, content, and ownership

Replies may be wrong, incomplete, or out of date. Rehearsals do not predict what a real person will do. Check important information before acting. Midnight is not a lawyer, accountant, doctor, therapist, financial adviser, or fiduciary. Conversations are not legally privileged. You remain responsible for your decisions.

You own what you provide and must have the right to share it. Get any permission required for another person's voice, image, personal data, or confidential material. Do not record someone without the notice or consent required by law.

You allow us and the providers in our Privacy Policy to process your content as needed to run, secure, and support the Service, comply with law, and enforce these Terms.

You may use replies, briefs, and research notes generated for you where law allows. AI output may not be unique, accurate, or protected by copyright, and it may involve third-party rights. Review it before use or publication.

Midnight and its licensors own the Service, software, and brand. These Terms give you a limited right to use them.

Acceptable use

Do not use Midnight to:

• break the law, cause harm, or violate another person's rights;
• gain unauthorized access, introduce malicious code, or bypass safeguards;
• impersonate others or misleadingly present AI output as human-created;
• scrape, resell, or redistribute the Service without permission; or
• make important decisions about another person without lawful authority and human review.

Access and changes

You may stop using Midnight and delete your briefs or account at any time. We may change, limit, suspend, or end the beta. We may suspend access for abuse, a serious breach, a security or legal risk, or when law requires it.

We may update these Terms. We will give notice of material changes where reasonable. Continued use after the effective date means acceptance where law allows. We will ask for express agreement where required.

Warranties and liability

We will use reasonable care in providing Midnight. Otherwise, where law allows, the Service is provided "as is" and "as available." We do not guarantee availability, accuracy, or error-free operation. Third-party services are outside our control.

Where law allows, Midnight is not liable for lost profits, revenue, business opportunities, data, or indirect or consequential loss. These limits do not apply to fraud, intentional misconduct, death or personal injury caused by negligence, or liability the law does not allow us to exclude. Mandatory consumer rights remain unchanged.

If you use Midnight for a business, that business will cover reasonable losses from a third-party claim caused by its unlawful content, misuse, or serious breach, except where Midnight caused the claim.

Law and contact

Spanish law governs these Terms without removing mandatory consumer protections or your right to use local courts. If one term cannot be enforced, the others remain in effect.
