Midnight Beta Terms of Service

These Terms cover Midnight's limited-access beta website, app, voice sessions, saved briefings, and Agent API, together called the Service. The Service is provided by Wild Ventures SL. By using it, you agree to these Terms. If you act for an organization, you must have authority to accept them for it.

The beta

You must be at least 18, able to enter a contract, and provide accurate account information. Access may require an invitation. Do not sell, share, or transfer your account.

Midnight is a free, pre-release AI voice advisor for founders. It provides conversation, rehearsal, and session briefings. Features may change or stop working, and we do not promise a service level or ongoing support. We will not charge you unless you separately agree to paid terms. Do not rely on Midnight as the only system for a critical business process.

AI limits

Responses may be wrong, incomplete, or out of date. Rehearsals do not predict what a real person will say or do. Review important information before acting.

Midnight does not provide legal, tax, accounting, medical, or investment advice. It is not a therapist or fiduciary. Conversations are not legally privileged, and no outcome is guaranteed. You remain responsible for your decisions.

Accounts, content, and output

Keep your sign-in details and Agent API keys secure. You are responsible for activity under your account and for apps you connect. You can revoke a key in Agent access, but revocation does not delete information an app already received. Connected apps have their own terms and privacy practices.

You keep ownership of content you provide. You must have the right to share it, including any required permission for another person's voice, image, personal information, or confidential material. Do not use Midnight to record another person without the notice or consent the law requires.

You allow us and the service providers described in our Privacy Policy to process your content as needed to run, secure, support, and improve the Service, comply with law, and enforce these Terms.

As between you and Midnight, you may use responses and briefings generated for you where law allows. AI output may not be unique or qualify for copyright protection, and it may involve third-party rights. Review it before use or publication.

Midnight and its licensors own the Service, software, and brand. We give you a limited, non-exclusive, non-transferable right to use the Service under these Terms. We may use feedback without payment or obligation to you.

Acceptable use

Do not use Midnight to:

• break the law, cause harm, or violate privacy, confidentiality, or other rights;
• gain unauthorized access, introduce malicious code, or bypass security or safety controls;
• impersonate others or misleadingly present AI output as human-created;
• scrape, resell, or redistribute the Service without permission; or
• make important decisions about another person's rights or opportunities without lawful authority and human review.

Changes and termination

You may stop using Midnight at any time and delete briefings or your account as described in the Privacy Policy.

We may change, limit, suspend, or end the beta. We may suspend access for a material breach, abuse, security or legal risk, or when law requires it. When reasonable, we will give notice of material service changes and an opportunity to correct a breach.

We may update these Terms and will give reasonable notice of material changes unless an urgent legal or security reason requires faster action. Continued use after the effective date means acceptance where law allows. We will ask for express agreement where required.

Disclaimers and liability

We will use reasonable care in providing Midnight. Otherwise, where law allows, the Service is provided "as is" and "as available." We do not guarantee availability, security, accuracy, or error-free operation, and we are not responsible for third-party services outside our control.

Where law allows, Midnight is not liable for lost profits, revenue, business opportunities, data, or indirect or consequential loss. These limits do not apply to fraud, intentional misconduct, death or personal injury caused by negligence, or other liability the law does not allow us to exclude. Mandatory consumer rights remain unchanged.

If you use Midnight for a business, that business will cover reasonable losses from a third-party claim caused by its unlawful content, misuse, or material breach, except to the extent Midnight caused the claim through its breach, negligence, or misconduct.

Law and contact

Spanish law governs these Terms, without removing any mandatory consumer protection or right to use your local courts. Please contact us first so we can try to resolve the issue.

If one term cannot be enforced, the others remain in effect. A delay in enforcement is not a waiver. You may not transfer these Terms without our permission. We may transfer them as part of a merger, reorganization, or sale.
